PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING THE UGANDAN HEAT PLATFORM. By accessing or using any part of the Platform, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Platform or use any services. These Terms constitute a legally binding agreement between you and Ugandan Heat.
1.1 For the purposes of these Terms of Service, the following definitions shall apply:
2.1 By accessing, browsing, registering on, or using the Platform in any manner, including but not limited to viewing profiles, creating an account, purchasing a Premium Membership, posting content, or contacting other Users, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any other policies or guidelines incorporated herein by reference.
2.2 These Terms constitute the entire agreement between you and Ugandan Heat concerning your use of the Platform and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written, between you and the Company.
2.3 We reserve the right, at our sole discretion, to modify, amend, or replace these Terms at any time without prior notice. Your continued use of the Platform following the posting of any changes constitutes acceptance of those changes. It is your responsibility to review these Terms periodically for updates.
3.1 The Platform is intended solely for individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is higher. By using the Platform, you represent and warrant that you meet this age requirement.
3.2 We expressly prohibit the use of the Platform by minors. We do not knowingly collect or solicit personal information from individuals under the age of eighteen (18). If we become aware that a User is under the age of eighteen (18), we will immediately terminate their account and remove all associated content.
3.3 By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding contract and that you are not prohibited from using the Platform under the laws of your jurisdiction.
4.1 To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.2 You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to accept responsibility for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4.3 We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, for any reason or no reason, including but not limited to violation of these Terms, provision of false information, or engagement in fraudulent, illegal, or harmful activities.
4.4 You may not transfer, sell, or assign your account or any account rights to any third party without our express written consent.
5.1 Ugandan Heat is a directory and advertising platform. We provide a venue for independent Escorts to advertise their companionship, entertainment, and adult-oriented services, and for Clients to discover and contact such Escorts. The Platform facilitates connections but does not participate in, supervise, or control any interactions or transactions between Users.
5.2 Ugandan Heat is not an escort agency. We do not employ, manage, supervise, direct, or control any Escort listed on the Platform. All Escorts are independent contractors who operate their own businesses and are solely responsible for their own actions, services, pricing, and compliance with applicable laws.
5.3 Ugandan Heat does not arrange, schedule, facilitate, broker, or receive any commission from meetings, encounters, or transactions between Users. Any arrangements made between Clients and Escorts are strictly private transactions between consenting adults for which Ugandan Heat bears no responsibility or liability.
5.4 The Platform does not offer, solicit, or promote illegal activities. Users are solely responsible for ensuring that their interactions and transactions comply with all applicable local, regional, national, and international laws, statutes, regulations, and ordinances.
6.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:
6.2 The following activities are strictly prohibited on the Platform and will result in immediate account termination and potential legal action:
7.1 Users may upload, post, or transmit Content including but not limited to profile information, photographs, messages, and reviews. You retain all ownership rights to Content you submit. However, by submitting Content to the Platform, you grant Ugandan Heat a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such Content in connection with the Platform's operation and promotion.
7.2 You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish all Content you submit, and that such Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
7.3 We reserve the right, but not the obligation, to review, monitor, edit, or remove any Content at our sole discretion, without prior notice, for any reason including but not limited to violation of these Terms or applicable law.
8.1 Ugandan Heat employs various verification measures including reverse image searches, contact verification, and manual content review. However, we do not guarantee the accuracy, completeness, or authenticity of any User profile or Content.
8.2 Verification on the Platform should not be construed as an endorsement, certification, or guarantee by Ugandan Heat regarding any Escort's identity, character, health status, reliability, quality of services, or compliance with applicable laws.
8.3 Users are strongly advised to exercise their own due diligence, judgment, and caution when interacting with other Users, arranging meetings, or engaging in any transactions.
9.1 Premium Membership provides enhanced access to Platform features. Premium Memberships are valid for thirty (30) days from the date of activation and do not automatically renew.
9.2 All payments for Premium Memberships are processed through authorized payment channels. By making a payment, you agree to the pricing and terms applicable at the time of purchase.
9.3 Premium Membership fees are generally non-refundable. Refunds may be considered on a case-by-case basis at our sole discretion, particularly in instances where our verification process has demonstrably failed to identify a fraudulent profile. All refund requests must be submitted in writing within seven (7) days of purchase.
9.4 Ugandan Heat does not process, facilitate, or take any commission from payments between Clients and Escorts for services rendered. All such financial transactions are strictly between the parties involved.
10.1 The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement thereof) are owned by Ugandan Heat, its licensors, or other providers of such material and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.
10.2 The Ugandan Heat name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You may not use such marks without the prior written permission of the Company.
10.3 You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Platform except as expressly permitted by these Terms.
11.1 Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference. Please review our Privacy Policy to understand our data collection, use, and protection practices.
11.2 By using the Platform, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.
12.1 The Platform may contain links to third-party websites or services, including but not limited to WhatsApp for communication purposes. Ugandan Heat does not endorse, control, or assume responsibility for any third-party websites, services, products, or content.
12.2 Your interactions with third-party services, including WhatsApp, are governed by the respective terms and policies of those third parties. Ugandan Heat is not liable for any damages or losses arising from your use of any third-party services.
13.1 THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UGANDAN HEAT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2 UGANDAN HEAT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM.
13.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UGANDAN HEAT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
13.4 UGANDAN HEAT'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO UGANDAN HEAT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
14.1 You agree to defend, indemnify, and hold harmless Ugandan Heat, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees) arising out of or related to:
15.1 We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms.
15.2 Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15.3 You may terminate your account at any time by contacting us. Termination of your account does not relieve you of any obligations arising prior to termination.
16.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of law provisions.
16.2 Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration in accordance with the laws of the Republic of Uganda.
16.3 The arbitration shall be conducted in Kampala, Uganda, before a single arbitrator mutually agreed upon by the parties. The arbitration proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
16.4 Notwithstanding the foregoing, Ugandan Heat reserves the right to seek injunctive or other equitable relief from any court of competent jurisdiction to prevent or restrain any breach or threatened breach of these Terms.
17.1 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
17.2 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. The failure of Ugandan Heat to assert any right under these Terms shall not constitute a waiver of such right.
17.3 Assignment: You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign or transfer these Terms without restriction.
17.4 Force Majeure: Ugandan Heat shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riot, embargo, civil commotion, fire, flood, earthquake, epidemic, or internet service disruptions.
17.5 Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Ugandan Heat concerning the Platform and supersede all prior agreements and understandings.
